Wayne Kinkade's practice is focused on business and corporate law, including business sales and acquisitions, business management and maintenance, taxation and advising healthcare professionals in various business matters. Mr. Kinkade is licensed to practice in both Oregon and Washington.

Business and Corporate Law

Mr. Kinkade assists clients in the formation and legal maintenance of corporations, limited liability companies, partnerships, sole proprietorships, and other types of business entities. His ongoing representation of such clients includes:

• Negotiation and drafting of various complex contracts with suppliers, contractors and other third parties
• Drafting buy-sell agreements, shareholder agreements, operating agreements and other contracts which occur between the business and its owners
• Preparation of stock sale agreements relating to new shareholders and stock redemption agreements in conjunction with retirement or withdrawal of shareholders
• Advising business owners with regard to loans, leasing and other ongoing business matters
• Structuring business dissolutions and liquidations

A substantial portion of Mr. Kinkade's practice is devoted to representing clients in the sale or acquisition of businesses. Mr. Kinkade's experience includes:

• Structuring the purchase or sale of various ongoing businesses for various clients with purchase prices ranging from $200,000 to in excess of $5 million
• Representing clients in corporate mergers and reorganizations

Mr. Kinkade represents clients before the Board of Property Tax Appeals, Department of Revenue and the Oregon Tax Court in matters involving both real property and income tax appeals.

Mr. Kinkade advises healthcare professionals in matters concerning:

• Admission of new professionals into the practice as well as retirement of existing professionals from the practice
• Preparation of contracts relating to transactions between the professional corporation and its shareholders
• Advising professionals regarding compliance with both federal and state law including issues involving Stark regulations and other medicare/medicaid compliance programs

Mr. Kinkade is a member of the Business Law and Health Law sections of the Oregon State Bar Association and currently serves on the Executive Committee of the Business Law Section.

Mr. Kinkade obtained his bachelors degree in Economics from Oregon State University in 1991 and obtained his law degree from the University of Oregon School of Law in 1995.
