Overview
Mr. Friesen’s practice is limited to business sales and acquisitions, corporate and individual tax planning, organization or dissolution of business entities, including the transition of ownership in closely held businesses, and tax representation, including income, estate and property tax issues.
Business Sales and Acquisitions
Much of Mr. Friesen’s practice involves the structuring of business sales and acquisitions with the goals of obtaining the best possible tax advantages for our clients and utilizing a practical approach to the transaction. His work includes representing clients in corporate mergers and reorganizations, and structuring the sale or purchase of ongoing business entities.
Business Organizations
Mr. Friesen assists clients in the formation and legal maintenance of various business entities including corporations, limited liability companies, partnerships, and sole proprietorships. His services include:

Maintaining accurate corporate records

Dissolution of business entities

Negotiating complex contracts

Drafting buy-sell agreements, shareholder agreements, LLC operating agreements and other contracts which occur between the business and its owners
Tax Law
Mr. Friesen represents corporations, associations, tax exempt organizations, and individuals in disputes with the Internal Revenue Service and the Oregon Department of Revenue. His work in this area includes representation of clients before the Oregon and Federal Tax Courts.
Property Taxation
Mr. Friesen represents clients in property tax disputes before county assessors, local Boards of Property Tax Appeals, the Department of Revenue, the Oregon Tax Court, and the Oregon State Supreme Court.
Education
Mr. Friesen attended Willamette University College of Law, graduating cum laude. He then obtained his LL.M. in taxation from the New York University School of Law.
