Bio

David Myers focuses his practice on corporate and individual tax planning and business transactions. He typically assists clients with the organization, maintenance, and dissolution of business entities, choice-of-entity and entity conversions, business sales and acquisitions, the transition of ownership in closely held businesses, and general tax representation including income, estate, and property tax matters.

Practice Areas

Business Organizations

Much of David's practice involves the formation and legal maintenance of various business entities including corporations, limited liability companies, partnerships, sole proprietorships and nonprofit organizations. His representation of these entities includes:

• Choosing the proper entity
• Structuring entity conversions to enhance tax and other benefits while minimizing adverse tax consequences
• Drafting and maintaining accurate corporate records
• Drafting and negotiating contracts
• Drafting buy-sell agreements, shareholder agreements, LLC operating agreements, and other agreements between a business and its owners

Business Sales, Acquisitions, and Transitions

David assists clients with business sales, acquisitions, and transitions including corporate mergers, reorganizations, and divisions, asset and stock sales, and the transfer of business ownership or property to family members, key employees, or others. Business transfers are often done in conjunction with both estate and retirement planning with the goal of obtaining the best possible tax advantages while utilizing a practical approach to the transaction.

Tax Representation

David assists corporations, associations, tax-exempt organizations, and individuals in the resolution of disputes with the Internal Revenue Service and the Oregon Department of Revenue. He also represents clients in property tax disputes before county assessors, local Boards of Property Tax Appeals, the Department of Revenue, the Oregon Tax Court, and the Oregon State Supreme Court. Where appropriate, David assists in obtaining private letter rulings from the Internal Revenue Service with regard to specific structures or transactions in order to assure the tax treatment of those structures or transactions.

Off The Job

David spends his free time with his wife and young son. David also enjoys golfing, skiing, boating, and just about anything there is to do at the Oregon Coast. David especially loves to travel with his family.
